Baker McKenzie advised Karl Storz GmbH & Co. KG regarding the change of its corporate structure into a SE & Co. KG.
The KARL STORZ GmbH & Co. KG, a globally leading manufacturer of endoscopes, medical instruments and devices, will trade under the new company name KARL STORZ SE & Co. KG. The company will remain 100% in the ownership of the Storz family and will continue to have its headquarters in Tuttlingen.
Baker McKenzie advised the company comprehensively both on corporate and tax law in creating the future corporate structure.
"It was an exciting challenge to accompany a traditional family-owned business legally and in terms of tax law on its transformation into an SE & Co. KG," commented Dr. Ulf Wauschkuhn, Partner responsible for the project.
As a family-owned company, KARL STORZ is represented with 50 locations in more than 40 countries to serve and advise hospitals and medical facilities all over the world.
The corporate / M&A team of Baker McKenzie regularly advises on restructuring and cross-border transactions. Recently, for example, it advised Johnson Controls on the global carve-out of the Automotive Experience division, Schneider Electric to spin-off of a division, EPF (Malaysia) on a joint venture with the Dietz Group, Evonik on a restructuring project, Telefónica / E-Plus on the sale of yourfone to Drillisch, Flowserve on its acquisition of the SIHI Group and Hochtief in the sale of offshore business to GeoSea.
