From 1 April 2020 onwards, financial statements and lists of shareholders must be filed with the Department of Business Development (DBD), the Ministry of Commerce electronically.

The DBD issued a notification dated 1 April 2020 that the following documents must be submitted to the DBD via the e-filing system only:

  1. Audited financial statements of registered partnerships, private limited companies, public limited companies, foreign entities operating in Thailand, and joint ventures under the Revenue Code.

  2. Lists of shareholders of private limited companies and public limited companies.

  3. Annual reports and minutes of general meetings of shareholders of public limited companies.

Previously, the DBD permitted the submission of hard copies of financial statements, provided that electronic submission was done within seven days from the due date prescribed by the law. However, this will no longer be permitted.

Many companies whose financial years ended 31 December 2019 are now heading into the so-called annual general meeting season. The companies must file the said documents with the DBD via the e-filing system only.
