Chris Moraitis is a partner in Baker & McKenzie's Johannesburg office. He represents clients in a broad range of regulatory and financing transactions.
Practice Focus
Mr. Moraitis regularly advises clients on debt capital market offerings and the regulatory aspects of banking, as well as on project and limited recourse financing, including those aspects relating to public private partnerships. He also counsels on all matters involved in infrastructure projects, including construction and environmental aspects.
Representative Legal Matters
- Represented the South African Reserve Bank (SARB) in the Rand Commission of Inquiry.
- Represented and advised the SARB with regard to the 2003 Taxation and Exchange Control Amnesty; the amendment to the South African Reserve Bank Act in 2010 to address, among others, shareholding in the SARB and the functions and powers of the Board of the SARB; the 2010 amendment to the Exchange Control Regulations of 1961 to address administrative relief (Regulation 4); and the Voluntary Disclosure Programme regarding regulation of Exchange Control contraventions.
- Represented the concessionaire in the N3 Toll Road concession project and in the ZAR750 million preference share issue concluded in 2008.
- Represented the South African National Roads Agency in the N4 Bakwena Toll Road concession project and refinancing concluded in 2009.
- Represented the South African National Roads Agency in the Gauteng Freeway Improvement Project as well as the procurement of an open road tolling system and a national transaction clearing house.
- Represented the South African National Roads Agency in relation to the establishment of an unsecured ZAR15 billion domestic medium term note programme and a guaranteed ZAR32 billion domestic medium term note programme.
- Represented various consortia and project companies in 2011 and 2012 in relation to the Department of Energy of the Republic of South Africa’s IPP program relating to new power generation facilities.
