For a variety of reasons, more companies are implementing, consider implementing or are enhancing their existing ESPPs, and are increasingly trying to offer the ESPP to as many employees as possible, including to employees outside the US. However, even more so than for other equity awards granted internationally, companies need to pay special attention to the local law requirements and restrictions which could impact operation of the ESPP in countries outside the US. Not only do companies need to make sure to comply with local law requirements, but they also need to ascertain that doing so does not create a problem from a US perspective for ESPPs that are intended to comply with Section 423 of the Code. Our presentation will discuss the various pitfalls and provide an overview of the different approaches that can be used to solve these issues.
