Toronto, Canada, 1 March 2012 – On February 29, 2012 at the Canadian Dealmakers Awards Gala in Toronto, Canada, the 2011 Private Equity Mid-Market Deal of the Year was awarded to OMERS Private Equity (“OMERS”), the private equity arm of the OMERS Worldwide group of companies, in connection with two acquisitions OMERS completed in 2011, one of which was its acquisition of CBI Health Group (“CBI”). OMERS, together with CBI management, acquired CBI from private equity firm Callisto Capital LP (“Callisto”) in January 2011.
CBI is a long standing client of Baker & McKenzie, and the Firm acted on behalf of CBI, management and employee shareholders with a team led by Alex C. Roberts and included Nancy Hamzo, Matthew Kindree, Frank DeLuca and Jake Irwin (Corporate and Securities) and Cheryl Elliott and Jeremy Hann (Employment).
The annual Canadian Dealmakers program recognizes “excellence in Canadian deal-making” and honor Canadian companies and individuals whose transactions have “significantly benefited their industry by promoting innovation and growth; establishing M&A best practices; enhancing customer service and/or product delivery; and creating value that extends beyond a return on investment.” The program is jointly sponsored by Deloitte, The Globe and Mail, Lexpert and Thomson Reuters.
“We value our long standing relationship with CBI and their management team and look forward to working with them on future transactions,” said Jim Holloway, Managing Partner of the Firm’s Toronto Office. “This award is a well deserved honor for OMERS, CBI Health Group and Alex and his team – congratulations to all.”
“Baker & McKenzie played a vital role throughout the entire CBIHG transaction process. Despite its many complexities, Alex Roberts and his entire team remained thorough, responsive and always provided thoughtful reactions and expert guidance that helped us ultimately achieve a very successful outcome,” said Chris Szybbo, Chief Executive Officer and President of CBI Health Group. “They will continue to be trusted advisors to the CBIHG management team.”
Based in Toronto, CBI is a leading provider of outpatient rehabilitation and community health care services in Canada, as well as home health services in parts of Ontario and Alberta. Baker & McKenzie LLP continues to act for and represent CBI in connection with several ongoing transactions.
Stikeman Elliott LLP acted for OPE and Davies Ward Phillips & Vineberg LLP acted for Callisto. The transaction was financed in part with bank debt provided by Bank of Montreal, National Bank of Canada, CIBC and The Bank of Nova Scotia. The banks were represented by Gowling Lafleur Henderson LLP.
