In 2014, there has been a flurry of new rules and guidelines as China continues to upgrade its merger control system:

  • In March, MOFCOM announced that, as of 1 May, it would start to publicize the names of parties and any fines imposed when it discovers that companies have failed to report notifiable transactions under Chinese merger control.
  • In February, MOFCOM adopted interim provisions setting out when merger transactions would amount to simple cases. In April, MOFCOM published a fast-track merger review procedure for those cases and a new notification form. Twelve transactions have already been notified to MOFCOM under this process and three cases have been cleared (one of which was cleared within 19 calendar days).
  • In June, MOFCOM adopted Revised Guidance on when transactions need to be notified.

On 20 June, the Center for Audit Quality released the findings of its field testing of the Public Company Accounting Oversight Board’s proposed expansion of the auditor’s report. In a letter to the PCAOB discussing the findings, the CAQ suggested changes to the proposals.

At a recent open hearing of the Budget and Taxes Committee of the lower chamber of the Russian Parliament the Minister of Finance confirmed ongoing work on legislative implementation of a beneficial owner requirement. Ahead of this announcement the Russian Ministry of Finance issued a new letter outlining the beneficial ownership concept for withholding tax purposes, discussing common back-to-back arrangements.

The German Federal Ministry of the Interior has recently published its administrative guidance regarding a "no spy guarantee" for companies that enter into certain procurement contracts with the German Federal Government. Several recent press articles also purport that a number of Federal States, so far including the states of Bremen, Hamburg, Schleswig-Holstein and Saxony-Anhalt, also plan to introduce comparable guarantee requirements for their IT tender procedures.

What is the nature of the remedy available to a principal whose agent receives a bribe or secret commission? The answer to this basic question of restitutionary law has proved surprisingly elusive in England & Wales, but a seven-strong panel of the Supreme Court has now tackled two centuries of inconsistent case law and, in a single judgment, concluded definitively that the principal does have a proprietary remedy in such a case. The ruling in FHR European Ventures LLP and Ors v. Cedar Capital Partners LLP overrules the contrary decision of the Court of Appeal in Sinclair Investments (UK) Ltd v. Versailles Trade Finance Ltd (in administration), handed down in March 2011.

On 28 June 2014, Turkey significantly amended its regulations on price tags to comply with the new Consumer Protection Law (effective 28 May  2014). The Price Tag Regulation replaces the Tag, Tariff and Price Lists Regulation, and includes more detailed provisions on price tags.

As in many jurisdictions, employment in Turkey in certain positions by a public company or a capital markets institution is subject to the employee holding a professional finance license. This requirement has created an issue for expatriates holding licenses issued abroad. On 27 June 2014, the Turkish Capital Markets Board announced that it will now recognize some international professional finance licenses, and holders of those licenses will be able to work in Turkish public companies and capital markets institutions if they have worked in financial markets abroad for at least three years.

In May 2014, the UK Competition & Markets Authority (CMA) said it planned to take various actions to encourage a compliance culture, including more closely linking enforcement outcomes with its work on compliance.

This has already started. On 27 June 2014, the CMA published a short note on lessons learnt from a recent cartel case it handled involving the distribution of commercial vehicles. On 1 July 2014, the CMA published on its website an open letter specifically addressed to the motor industry about the lessons that can be drawn from the case.

The Mexican Supreme Court of Justice (the Court) issued a judgment at the meeting thereof held on March 2014 whereby there was an analysis of the interpretation of Article 32, Section XVIII of the Mexican Income Tax Law (MITL) in effect until the year 2013 (currently Article 28, Section XVIII) which sets forth the prohibition to deduct pro rata expenses incurred abroad with persons that are not income tax payers in Mexico pursuant to Titles II (legal entities) or IV (individuals) of the MITL.
