Baker & McKenzie Leads Dresser-Rand in Acquisition of Grupo Guascor

São Paulo, Brazil, March 10, 2011 – In a multijurisdictional deal, Baker & McKenzie led Dresser-Rand Group, one of the leaders in the development and manufacturing of equipment for the gas, oil, chemical and industry sectors worldwide, in the acquisition of Spanish-based Grupo Guascor, leader in environmental solutions and renewable energy. The share purchase agreement was signed on March 3 and the closing of the transaction is currently planned to occur in the second quarter of 2011.
The US$690 million operation was led by the Firm’s Houston office with the cooperation of its Washington DC, Chicago, Madrid, Milan and Rome offices. In Latin America, Baker & Mckenzie’s associated firm Trench, Rossi e Watanabe acted in the deal through its offices in São Paulo and Rio de Janeiro.
The total amount will be paid through a mix of Dresser-Rand stock, cash and assumption of Grupo Guascor debt.

With the acquisition, the Group will be present in more than 140 countries, with 7,400 employees and revenue of EUR1.725 million, with industrial bases in the USA, France, Germany, India, Norway, UK, China and, once the transaction is closed, in Spain, Brazil, Italy and Venezuela.
