- M&A - We assist in setting up or acquiring new entities, spinning off local affiliates, mergers or portfolio transfers and in structuring, restructuring and relocations of insurance and banking companies and groups in response to regulatory changes. We also assist carriers investing and/or divesting real estate and other assets forming part of their tied assets.
- IP - We advise insurance companies in relation to a variety of intellectual property and brand protection matters, including obtaining and enforcing trademark rights.
- IT and data protection - We advise on the full range of sourcing and outsourcing arrangements, from commodity ITO to bespoke BPO, as well as global and domestic privacy and data protection issues. Our advice covers transactional (outsourcing, mergers, acquisitions, restructurings), operational (HR records and other databases, e-monitoring, consumer or marketing data) and crisis management (corporate security, public inquiry, bankruptcy, litigation) issues. For clients who are inheriting business units or products, we assist in the update, localization or negotiation of global and domestic license, service, distribution and other technology contracts.
- Labor and pensions - We advise on the full range of employment matters. We are experienced in advising on pension funds and other financing vehicles for occupational pension liabilities, as well as in the restructuring and reorganization of insurance companies.
- Compliance - We advise on local compliance matters, group insurance contracts and data protection, anti-money laundering and provide guidance in relation to marketing.
- Real estate - We advise on a wide spectrum of real estate matters, including issues relating to local regulation, commercial and private lease, acquisition and development.
- Litigation/arbitration - We regularly represent insurers in litigious and nonlitigious coverage disputes, conduct claims audits, and advise in reinsurance disputes in both litigation and arbitration proceedings.
