Our Banking & Finance Practice Group has extensive experience and capabilities, both in Venezuela and worldwide. In the banking sector, we design and implement structures to establish new banks and financial institutions. In capital markets, we advise brokerage firms, investment advisors, placement agents, and bank depositaries for ADR and GDR programs, among others. We render advice in take-over processes. We advise and render opinions on financial transactions, from simple loans to more complex syndicated and structured financing, project financing, financial leasing, securitization, and debt restructuring processes.

Our Banking & Finance Practice Group offers its services regarding the many aspects of Venezuela's insurance and reinsurance sector. We advise in the design of policies, bonds, and other documents related to insurance activity and claims. Also, we advise clients on the regulatory aspects applicable to insurance and reinsurance companies, as well as entities that finance the payment of insurance premiums.

In the area of debt-restructuring, bankruptcy, arrears, and debtor-creditor relations, creditors are assisted in creating and exercising guarantees. Liabilities, credit facilities and capitalizations are restructured. We also advise clients concerning the legal aspects of credit risks related to bankruptcy, arrears, intervention, and the liquidation of banks and other financial institutions.

With regard to the protection of credit instruments, we counsel banks, financial institutions, brokers, and individuals concerning the deposit and protection of commercial paper, including global depositaries.

We have a strong and highly recognized exchange control regulations practice, which covers the designing, structuring and implementation of securities and financial transactions which enable corporate clients to manage and deal with exchange regulations in the most efficient and profitable manner.
