New South Wales Treasury, as the sponsor of the Electricity Reform Project on behalf of the State of New South Wales, Baker & McKenzie is assisting in the following transactions:
1. The sale of the electricity and gas retail businesses of Country Energy, EnergyAustralia and Integral Energy
2. The sale of gentrader rights for the Delta Electricity, Eraring Energy and Macquarie Generation power stations
3. The sale of various generation development sites and associated reform of the NSW electricity sector
State Grid Corporation of China, on (i) its bid, together with two Philippine companies (collectively, the Consortium), for a 25-year concession to operate, maintain and expand the nationwide transmission system and electricity grid in the Philippines (the Concession); (ii) the formation of a Philippine company, National Grid Corporation of the Philippines (“NGCP”), which is the joint venture vehicle for the Consortium and was awarded the Concession for a bid price of USD3.95 billion; (iii) the franchise which was granted by the Philippine government in connection with the Concession; (iv) its investment in NGCP; and (v) NGCP’s takeover of the operation of the electricity grid of the Philippines.
Gas Natural Group, as purchaser, in connection with the implementation and performance of the Share Purchase Agreement with Electricite de France (EDF) and Mitsubishi Corporation. Under the SPA, Gas Natural acquired four CCGTs and a gas pipeline owned by EDF, and a fifth CCGT owned by both EDF and Mitsubishi. The transaction represents the entry of Gas Natural into the Mexican electricity generation business as the second largest private operator, and making Gas Natural the only operator of both gas and electricity in Mexico. According to Thomson Project Finance International, this was “the largest merger and acquisition deal in Latin America and could set the stage for many more deals in Mexico.” The deal was ranked one of the top three of 2008 by Latin Lawyer.
PT Medco Energi Internasional Tbk, ITOCHU Corporation, Kyushu Electric Power Co Inc, Ormat Technologies Inc., as sponsors for the development and financing of a 330MW geothermal power project in North Sumatra, Indonesia, which will be the largest single geothermal project in the world.
Oncor Electric Delivery, Baker & McKenzie, as general counsel, acted for Oncor in several matters, including a USD1.25 billion sale of a 20% interest in Oncor to Texas Transmission, a consortium of Borealis and the Singaporean Government, and as issuer's counsel for Oncor's USD1.5 billion bond issue.
PT Perusahaan Listrik Negara (Persero), the Indonesian State-owned power utility, and assisting the Government of Indonesia (GOI) on the continuing finance arrangements for all projects in relation to the 10,000MW Fast Track program guaranteed by the GOI.
