Oil & Gas

• China National Petroleum Corporation (CNPC), as the PRC project sponsor of a USD11 billion dual-gas pipeline project across Central Asia.
• West Siberian Resources Ltd., a Bermuda incorporated independent oil company with operations in Russia, on its merger with Alliance Oil, a leading independent Russian oil company. The merger created a fully integrated independent oil company with a market capitalization of approximately USD2.25 billion.
• Petrobras, the Brazilian Government controlled oil company, on a number of matters, including legal and regulatory assistance on the contractual and public law matters related to construction of its Complexo Petroquímico do Rio de Janeiro. The transaction marked Petrobras’ return to the petrochemical industry. And also on a USD2.5 billion limited recourse project financing of the Barracuda/Caratinga oil and gas field located in the Campos Basin.
• MOL Hungarian Oil and Gas Public Company Limited, on agreements implementing its strategic cooperation with Oman Oil Company S.A.O.C. (OOC). The agreements provide for OOC's sale of 8,774,040 MOL treasury shares at a price of USD1.276 billion and the purchase of MOL of interests in a number of international assets from OOC.
• Egyptian Offshore Drilling Company (a joint venture among Toyota Tsusho Corporation, Egyptian Natural Gas Holding Co. and Ganoub El-Wadi Petroleum Holding Co.), as the project company, in the negotiation and documentation of a project to construct, charter and finance two jack up drilling rigs in Egypt.

Petrochemicals

• Sociedad Nacional de Combustiveis de Angola, Empressa Publica (Sonangol), the exclusive concessionary for liquid and gaseous hydrocarbon exploration in Angola, as project sponsor in relation to the engineering, procurement and construction of a 200,000 BPSD grassroots refinery located on a greenfield site north of Lobito, Angola.
• Kazakhstan Petrochemical Industries JSC (KPI), on the development of an integrated petrochemical project in Kazakhstan with a value exceeding USD5 billion. The project involves multiple processing facilities, connecting pipelines, and all related utilities and offsite facilities. We also advised on related issues such as product offtake arrangements and the development of EPC tender documentation for the USD5 billion facility.
• Mandated Lead Arrangers, in relation to the PPT Ashai Petrochemical Plant Deal in Map Ta Phut, Thailand. Asia Pacific Petrochemicals Deal of the Year 2008, Euromoney Project Finance

• Developer, in the USD3.5 billion financing of Saudi Arabia’s largest petrochemicals greenfield project financing to date, involving the Sponsor Saudi Basic Industry Corporation and the Project Company Yanbu National Petrochemical Company (Yansab).
