Our Major Projects/Project Finance Practice Group has wide experience in concession contracts involving toll roads, gas and oil pipelines, telecommunications facilities, energy generation and similar infrastructure developments; representation of companies and consortia in public bids; engineering, procurement and construction (EPC) contracts; oil and mining exploration concessions and agreements; power purchase agreements; operation and maintenance agreements; shareholder participation agreements among project participants; and regulatory advice.
We are also knowledgeable in limited recourse financing facilities, including related security and inter-creditor documentation involved in project finance; multilateral guarantee programs, including political risk and partial risk coverage; leveraged lease financing; adapting international financial products, including securitization, to Venezuelan standards; currency conversion swaps and similar derivative products. In particular, our group has developed unique capabilities in the analysis, review, due diligence and examination of industrial, natural resources, major or privatization projects seeking financing from international markets, either from senior lenders or from private investors by means of the placement of securities in the latter case.
We are capable of handling all of the legal work pertaining to the preparation of the financing opinions required to obtain financial resources for developing projects. By virtue of its continued involvement in most of the major financing transactions concluded in Venezuela in the last decades, our practice has become recognized as a leader in the field.
