Biography

Roger Bivans is a seasoned lawyer focused on strategic transactions, including domestic and multinational mergers and acquisitions, carve-out and joint venture transactions, capital markets transactions, securities regulation and corporate governance matters and general commercial transactions. He is recognized by Chambers USA for Corporate/M&A. A frequent speaker on securities regulation, he is the current Dallas chapter president of the Society for Corporate Governance and moderator of the DFW Securities Law Discussion Group. Mr. Bivans previously served as a surface warfare officer in the United States Navy.

Mr. Bivans focuses his practice on mergers and acquisitions for multinational and US public and private companies, capital raising transactions, securities regulations and corporate governance, and corporate finance transactions. His clients cover a wide variety of industries, including energy, infrastructure, engineering & construction, telecommunications and venture capital/private equity.

Representative Legal Matters

Mr. Bivans has represented clients and led multi-disciplinary teams for a number of strategic transactions, including:

  • Represented Ramboll Gruppen A/S, a Danish engineering company, in connection with its acquisition of O’Brien & Gere Limited, a New York-based engineering firm with operations in eleven US states.

  • Represented Ramboll in connection with its acquisition of ENVIRON Holdings, Inc., a US-based environmental consulting firm with operations in over 15 countries.

  • Represented Radisys Corporation, a Nasdaq-listed telecommunications services company, in connection with the sale of the public company to Reliance Industries Limited, an Indian technology company and mobile services provider in a merger.

  • Represented Frozen Food Express Industries, Inc., a Nasdaq-listed trucking company, in connection with the sale of the public company to Duff Brothers Capital Corporation, the owners of a Mississippi based private trucking company, in a tender offer.

  • Represented Quest Diagnostics, a NYSE-listed laboratory services company, in connection with the carve-out and sale of its Focus Products business unit to DiaSorin S.p.A. and certain affiliates.

  • Represented Quest Diagnostics in connection with its joint venture with Quintiles Transnational, a Nasdaq-listed laboratory services company, in connection with a joint venture to carve-out and combine their respective worldwide clinical trials testing business.

  • Represented Rimrock Midstream, a Dallas-based midstream energy company, in connection with the formation and sale of its ownership interest in the Grand Mesa Pipeline Joint Venture.

  • Represented Jefferson Refinery, a Houston-based petroleum infrastructure company, in connection with the sale of its businesses to an affiliate of Fortress Investment Group.

  • Represented Ramboll in connection with the acquisition of Excel Engineering, a Houston-based engineering consulting company serving the offshore energy industry.

  • Represented HSB Solomon Associates, a Dallas-based engineering consulting company, in connection with the acquisition of Ziff Energy Group, a Calgary-based engineering consulting company serving the petroleum industry.
