Rebecca Ford is a partner in the Firm’s Banking & Finance Practice Group in London. She regularly advises on international debt securities transactions, specifically securitization. She has authored a number of articles for different publications, including Baker & McKenzie’s Securitization and Structured Capital Market Newsletter. Ms. Ford has also presented a series of internal and external training programs on various topics in her area of practice.
Practice Focus
Rebecca advises clients on securitization transactions across a number of jurisdictions in Europe. She has acted for arranging banks and originators in commercial paper conduit and term issue securitizations. She has also handled the review of numerous European CMBS transactions for a major rating agency, as well as term deals for trustees, including CMBS restructuring. Rebecca is knowledgeable in the securitization of a variety of asset classes, including trade receivables, auto loans, mortgages and lease contracts.
Representative Legal Matters
- Advising UBS Limited and BNP Paribas, London Branch as Joint Arrangers of the GBP340 million securitisation of UK auto loans originated by the London branch of FirstRand Bank Limited (a South African-incorporated bank), Turbo Finance plc.
- Advising a leading bank conduit sponsor on several trade receivables securitisation transactions.
- Acting for Homeloan Management Limited (HML), a major UK mortgage servicer, in connection with its accession to a number of mortgage-backed securities transactions.
- Acted for The Royal Bank of Scotland plc as arranger of the securitisation of hire purchase and lease purchase contracts originated by Volkswagen Financial Services (UK) Limited (Driver UK One PLC as issuer).
- Acted for National Australia Bank's London branch on the establishment of CentreStar, its hybrid multi-seller/credit arbitrage US and Euro commercial paper conduit and on several securities arbitrage transactions funded through the CentreStar conduit.
- Acted for a major rating agency in its review of over 50 European CMBS transactions.
- Assisted ISS Global A/S as Originator and acted as documentation counsel in structuring the securitisation of ISS' trade receivables portfolio in multiple jurisdictions via commercial paper financing.
