Pia Flanagan advises clients around the world on all aspects of executive compensation and employee benefit plans and programs under the Internal Revenue Code and ERISA. Ms. Flanagan is a member of the American Bar Association, Labor & Employment Law section, as well as Tax Section of the New York State Bar Association. She also serves as member of the National Association of Women Lawyers, Association of the Bar of the City of New York and the Sports Lawyers Association.

Practice Focus

Ms. Flanagan advises clients on the design, implementation and administration of qualified and non-qualified retirement plans, and helps address operational and fiduciary issues as they arise under such plans. She also advises clients on the establishment, administration and operation of health and welfare plans, with particular focus on issues arising under HIPAA and COBRA. Ms. Flanagan provides sound and insightful counsel on employee benefits, executive compensation and labor and employment issues arising in the context of corporate transactions, including mergers and acquisitions. She also designs and drafts all forms of stock-based compensation plans, and helps negotiate and draft executive employment agreements.

Representative Legal Matters

  • Advised a world-leading legal services and information provider in connection with employee benefit and executive compensation aspects of its USD4.1 billion acquisition of a US-based data aggregation company.
  • Advised a France-based transportation and logistics company in connection with employee benefits and employment aspects of its acquisition of the global logistics operations of a multinational computer, technology and IT consulting company.
  • Represented a publicly traded global news and information provider on all employee benefits, as well as employment and executive compensation aspects of its acquisition of a leading provider of financial information and transaction services.
  • Represented a French industrial gas company in connection with the employee benefits and executive compensation aspects of its purchase of the German, UK and US industrial gas activities on a multinational company.
  • Represented a public, German-based chemical and pharmaceutical company in connection with the employee benefits and executive compensation aspects of the sale of its laboratory distribution business to a private equity firm.
