Felix Sy heads the Firm’s Banking & Finance/Insurance Practice Group and the Energy/Infrastructure Focus Group in Manila. He has substantial experience in advising and representing clients in all aspects of the deal structure, as well as negotiation and documentation of loan and security arrangements and project finance transactions. He also works on insurance transactional matters and major projects transactions. Mr. Sy serves as corporate secretary of the British Chamber of Commerce of the Philippines.

Practice Focus

Mr. Sy’s practice focuses on project finance, energy, mining and infrastructure, resource financing, real estate financing, securitization & structured finance, as well as insurance and bancassurance products and regulation.

Representative Legal Matters

• Act as counsel to the foreign shareholder in the consortium that was awarded the 25-year concession to operate the Philippine electricity transmission system.
• Advise and represent a global investment company in connection with the supervision of industry-leading insurance brokers for the procurement of the necessary insurance to cover the construction and development of a USD1.25 billion aviation and logistics complex in the Philippines.
• Represent and advise a Japanese financial conglomerate with respect to the sell-down of its USD222.3 million mezzanine loan and the project financing of such mezzanine loan sell-down to a major Philippine power generation company.
• Advise an Asian satellite services operator on (i) its proposed USD27.5 million acquisition of a Philippine telecommunications company and (ii) a review of the latter’s USD180 million Omnibus Credit and Security Agreement.
• Advise a Singapore-based banking and financial group on project financing amounting to USD85 million of a gold mine on Masbate Island, Philippines and conduct legal due diligence of the project.
