Prior to joining Baker & McKenzie, he served as a Commissioner and Acting Chairman of the Federal Trade Commission. Practice Focus
Mr. Clanton represents clients on a wide variety of antitrust matters, including multi-jurisdictional merger and cartel investigations. He often deals with the antitrust aspects of M&A transactions, especially in responding to second requests, negotiating settlements and defending clients in litigation. He also represents clients in cartel investigations, such as negotiating amnesty agreements, responding to grand jury subpoenas and defending follow-on private treble damage lawsuits.
Representative Legal Matters
- Represented Hospira in the FTC review of its acquisition of Mayne Pharma, which created the leading US supplier of injectable generic drugs.
- Represented Stericycle, a leading provider of medical waste transportation and treatment services, in DOJ reviews of acquisitions.
- Represented the Star System, the leading US electronic debit network, in the DOJ review of its acquisition by a competitor.
- Successfully represented a leading chemical company in connection with an FTC investigation of completed acquisitions.
- Represented clients in DOJ price fixing investigations focusing on specialty chemicals, paper products, and marine transportation, including the successful negotiation of an amnesty agreement under the DOJ leniency policy for a major chemical producer.
- Advised clients on the creation and implementation of joint ventures, including a crude oil joint marketing arrangement involving several of the world's leading suppliers and joint ownership of an anti-fraud company by several leading financial institutions.
