Securities & Capital Markets in China

We operate a leading Hong Kong and US securities and capital markets practice that covers Hong Kong, China and the Asia Pacific region. We focus particularly on corporate restructurings, initial public offerings, other types of fund raising, and mergers and acquisitions in and outside China. We often act for companies as well as for financial advisers, underwriters and investors. We also offer compliance advice to companies listed on the Hong Kong Stock Exchange and the New York Stock Exchange.

Our experience covers all principal industries of China — from oil and gas, natural resources, transportation to real estate, telecommunications and financial services. Many of our clients are leaders in their respective industries. We are consistently engaged in the largest and the most complicated transactions that come to market.

In Hong Kong, we regularly advise listed companies and investment banks on share placements, rights issues, open offers, bond issues, takeovers and other corporate finance transactions. We are active in the development of the REIT market in Hong Kong, having taken part in nearly all of the REIT listings to date.

Many companies have emergency plans to provide for a fire, a bomb threat or the failure of IT systems. But what about the possible disintegration of the euro?
Our lawyers outline the implications for investors and issuers of the Frankfurt Stock Exchange’s decision to shut down the unregulated market segment. The closure is expected to be effective sometime in the third quarter of 2012.
