US Capital Markets in Australia

Our US capital markets team in Sydney advises Australian and New Zealand issuers on US capital markets transactions ranging from the establishment of American Depositary Receipt programs to offers of debt and equity transactions in the private placement, Rule 144A and SEC-registered public markets. We also advise on other matters governed by US law.

We offer a unique "one-stop shop" capability of delivering both US and Australian law advice under one roof in Australia. This enables us to advise Australian issuers seeking to access the US debt and equity markets in a more convenient and cost-effective manner than hiring separate Australian and US law firms.

Edition 9 of the SCM Briefing provides an update on key legal and regulatory developments affecting structured capital markets transactions, and contains features on ESMA's consultation on structured finance information requirements under CRA III and the European Commission final RTS on securitisation risk-retention.
This alert provides information on ASIC’s new regulations on increasing the amount custodians are required to hold in net tangible assets (NTA). The new rules also apply to asset holders for registered schemes or investor directed portfolio services (IDPS).
Germany and Switzerland have entered into a tax treaty which will regulate the taxation of undeclared assets held through Swiss banks. The treaty is also relevant for Swiss banks from another perspective: a separate “protocol” will improve their access to German retail customers.
