Prokon, a large German wind power company, recently went bankrupt due to its inability to meet interest payments under profit participation rights (“Genussrechte”) issued to investors. Prokon had advertised widely for investment in its profit participation rights and had collected large amounts of cash from retail investors. The rights had a fixed coupon of 8% which the company was unable to pay. The insolvency court recently invalidated the subordination clause in the terms of the profit participation rights. As a result the investors will share pari passu with the other unsecured Prokon creditors in the assets of the insolvent estate.
