Baker & McKenzie's Mergers & Acquisitions Group continues to be involved in significant and high-profile transactions with leading domestic and international clients. We were awarded "Legal Advisor of the Year" at the mergermarket - Financial Times Asia Pacific M&A Awards 2010. 

Our Mergers & Acquisitions Group advises on all aspects of deals, from tax and finance, through to employment, environmental and other regulatory considerations. In addition, we regularly advise on corporate restructurings, joint ventures, employee share option schemes, cross-border acquisitions and foreign investment transactions.

We have acted for both offerors and targets in takeovers of public companies, as well as unit trusts, either through a formal takeover scheme or with the approval of shareholders. The Group's involvement has included strategic planning, preparation of takeover documentation and liaising with regulatory bodies such as ASIC.

Owing to our global connectivity, we are instructed in many cross-border deals which, through our global platform, we are able to smoothly facilitate for our clients. In this regard, we have developed due diligence procedures based on internationally recognised techniques for use in multi-jurisdictional transactions, often involving the sale or purchase of more than one business.

We summarize the new requirements under Turkey's Commercial Code which take effect in 2014. Turkish companies and liaison offices should take steps to ensure compliance with the new rules concerning general assembly, articles of association, minimum capital and commercial books, among others.
