Equity Capital Markets in Australia

Our Capital Markets Group have considerable experience in equity offers, acting for issuers, investment banks and underwriters.

In difficult financing conditions, many ASX-listed companies are increasingly seeking to raise equity by way of secondary offers to reduce debt, bolster balance sheets or fund acquisitions. We help issuers develop the structure to execute these transactions.

We bring unique international advice to the Australian market through our "one-stop shop" capability, which provides US securities law advice to Australian issuers from our Sydney office. This means only one point of contact for clients, and enables us to advise Australian issuers in a more direct, convenient and cost effective manner than hiring separate Australian and US law firms.

Our Equity Capital Markets Group was awarded the 2009 "Equity Market Deal of the Year" at the Macquarie Bank Australasian Legal Business Awards for our work on the A$2 billion placement by Commonwealth Bank of Australia for the acquisition of BankWest.

Edition 10 of the SCM Briefing provides an update on key legal and regulatory developments affecting structured capital markets transactions, and contains features on the New Directive introducing EU-wide mortgage regulation from 2016 and Trustee Hot Topics.
On 14 April 2014, the US Court of Appeals ruled that the requirement for companies to identify products as "non DRC conflict free" violates the First Amendment.
Edition 9 of the SCM Briefing provides an update on key legal and regulatory developments affecting structured capital markets transactions, and contains features on ESMA's consultation on structured finance information requirements under CRA III and the European Commission final RTS on securitisation risk-retention.
