Debt Capital Markets in Australia

Our Debt Capital Markets Group has considerable experience in advising corporations and investment banks on debt offers by Australian issuers in both the Australian and international debt markets. We offer the experience of leading capital markets lawyers in Australian domestic and subordinated note offers and a proven track record of delivering strategic advice and service on all capital markets transactions.

We also advise a number of Australia's major institutions on compliance with the terms of debt agreements and proposed new debt offers. With the trend of Australian companies seeking access to international debt markets, our direct access to the US securities market, through our US securities team, creates a "one-stop shop" capability in Australia, for our clients.

Our unique offering is backed by the strength of our global platform and our proven track record of successfully managing complex transactions across jurisdictions. With this capability, we are able to advise on a wider range of debt offers, including US traditional private placements, Rule 144A debt offers (investment grade and high yield) and Eurobond offers.

We advised Australian sandalwood plantation company TFS Corp. Ltd (ASX: TFC) on its USD150 million offer of 11 percent Senior Secured Notes due 2018 and Warrants to purchase 55,500,000 ordinary shares. The bonds have been listed on the Singapore Exchange.

The Monetary Authority of Singapore (MAS) has issued a consultation paper proposing several changes to the Banking Act. The review aims to rationalize and enhance its supervisory powers over banks and their directors, executive officers and external auditors. The consultation period ends on 15 January 2014.
Edition 13 of the SCM Briefing provides an update on the key legal and regulatory developments affecting structured capital markets transactions, looks forward to progress being made in relation to some key securitisation market reforms, and contains a feature piece on the European Central Bank's detailed eligibility criteria for the new ABS and covered bond purchase programmes.
Turkey's Capital Markets Board (CMB) approved Fenerbahçe Futbol's TRY200 million bond offering but required the organization to obtain a Turkish bank guarantee for its obligations under the issuance. Our Client Alert summarizes the developments and their potential impact on future transactions.
